Knowbull user agreement
Knowbull is currently an operating brand, not yet an incorporated company. This agreement reflects how the Knowbull product works today; formal company terms will be updated once the entity is incorporated.
If you wish to use Knowbull products and services (the "Services") you must agree to the terms set out in this Agreement. By registering for or using the Services, you are entering into a binding agreement with Knowbull.
Agreement
What Knowbull does
Knowbull is a referral platform. A referrer recommends someone they know for a role and sets a fee. The employer receives an introduction, agrees the fee before any candidate details are shared, and pays that fee only if they hire the candidate. Knowbull handles the fee agreement, invoicing and payout so the referrer doesn't have to have the money conversation themselves.
Accepting these terms
When you use our Services you are entering into a legal agreement and you agree to all of these terms.
You also agree to the Knowbull Code of Practice, which sets out the rules that keep the Service working safely for everyone, and to our Privacy Policy, which covers how we collect, use and store personal information.
By registering, accessing or using the Services, you are entering into a legally binding agreement, whether you are using the Services as an individual or on behalf of a company. If you do not agree to this Agreement, do not use the Services.
Accounts and eligibility
You must be at least 18 years old and legally able to enter into this Agreement. Referrers create an account; candidates and employers can take part in a referral through a secure link without creating an account.
You must use the name you are usually known by and operate only one referrer account. To keep your account secure, keep your password secret and do not share your account. Your password must be at least 8 characters long.
You are responsible for the accuracy of the information you provide and for activity that happens under your account.
Fees and payments
Referrers and candidates never pay to use Knowbull. Employers only pay when they hire a candidate introduced through the Services.
When an employer agrees to a referral's terms, they agree that — if and only if they hire that candidate — they will pay the fee set by the referrer, plus a payment processing fee of 2.95%. Payments are made through Stripe.
After an employer pays, the funds are held for a settling-in period of around 30 days. Once that period passes, Knowbull releases the fee to the referrer through Stripe. Knowbull's platform fee is 10% of the referral fee and is deducted from the amount released, so the referrer receives 90%.
We do not generally issue refunds. The 30-day settling-in period exists to cover early departures: if there is a problem within that window, raise it with us before the fee is released. Local taxes or currency-conversion costs may apply depending on the parties' locations.
Notices and service messages
You agree that we may use the Knowbull website and email to send you important information and notices about your account and your referrals. It is your responsibility to keep your contact details up to date.
Your content and responsibilities
You agree to only provide information and content that you have the right to share, that is truthful, and that does not infringe anyone's intellectual property or other rights. When you recommend a candidate, you should have a genuine basis for the recommendation and, where appropriate, the candidate's awareness that you are referring them.
You keep ownership of the information you provide. You grant Knowbull the rights needed to operate the Services — for example to display a referral to the relevant employer, process payments, and send related messages. We may make minor formatting changes but will not alter the meaning of your content. By submitting feedback about the Services, you agree we may use it without any obligation to you.
Candidates recommended through Knowbull are put forward by referrers, not vetted by us. Employers are responsible for their own interviewing and due diligence before making a hire.
Service availability and limits
We may change or discontinue parts of the Services at our discretion. We don't promise that the Services will always be available or error-free, and we don't guarantee that information provided by others is accurate.
We may limit, suspend or terminate your access if we believe you are in breach of this Agreement or applicable law, or are misusing the Services. Knowbull reserves all intellectual property rights in the Services; the Knowbull name and logo may not be used without permission.
Disclaimer and limitation of liability
Some jurisdictions don't allow certain disclaimers, so some of these may not apply to you. To the extent allowed by law, Knowbull provides the Services on an "as is" basis and disclaims implied warranties such as merchantability, fitness for a particular purpose and non-infringement, and does not guarantee that the Services will be uninterrupted or error-free.
To the extent permitted by law, Knowbull will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, opportunities, profits or revenue arising from your use of the Services. Where liability cannot be excluded, our total liability for all claims is limited to USD $1,000. This limitation applies to any basis of liability, including warranty, tort, negligence and contract.
Termination
Either you or Knowbull may terminate this Agreement at any time on notice to the other. On termination you lose the right to use the Services. Any amounts owed before termination remain owed, and our rights to use feedback you provided survive termination.
Dispute resolution
If a dispute arises, please contact us first so we can try to resolve it directly by emailing [email protected]. If we can't resolve it that way, both parties agree to seek resolution through binding, non-appearance-based arbitration conducted in writing or by online meeting, before any court proceedings.
Taxes
You are responsible for any taxes that apply to you, including on referral fees you earn. You agree to comply with your own tax obligations in your jurisdiction.
General terms
This Agreement is between you and Knowbull, and there are no third-party beneficiaries. If any provision is found unenforceable, the rest remains in effect. We may assign this Agreement to an associated entity or as part of a sale or transfer of our business; you may not assign it without our consent.
The English language version of this Agreement applies. This Agreement is the entire agreement between us regarding the Services and supersedes prior agreements. If we don't enforce a breach, we haven't waived our right to do so. We may change these terms and will give notice of material changes; changes are not retrospective, and if you don't agree you must stop using the Services.
